Trade Connect
Vendor membership
These apply to every Trade Connect membership. Paying the annual membership fee means you accept them.
This agreement covers a 12-month membership term beginning on the effective date confirmed at signup. Membership renews automatically each year, and the annual fee is charged to the card on file on the renewal date unless Vendor has cancelled first. Peripheral will contact Vendor before the renewal date as a reminder; that reminder is a courtesy and is not a condition of renewal.
Vendor may cancel at any time up to and including the day before the renewal date, by writing to info@peripheralmanagement.com. Cancellation takes effect at the end of the term already paid for: Vendor keeps every benefit of membership until that date and is not charged again. Once a renewal has been charged it is non-refundable, whether or not Vendor uses the roster during the renewed term. Cancelling on or after the renewal date therefore ends the year ahead, not the one just paid for.
Membership in Trade Connect provides roster visibility and RFP notifications only. It does not guarantee any volume, value, or award of work. Final vendor selection for any project remains the sole discretion of the applicable condominium corporation's board of directors.
Trade Connect is a vendor marketing and advertising membership program. It provides paid visibility and promotional placement only. Membership does not constitute a recommendation, endorsement, preference, vetted-quality claim, or guarantee of workmanship by Peripheral, any condominium corporation, or any board of directors. References to "membership," "roster," or "tier" describe marketing categories only and carry no representation as to a vendor's quality, reliability, or suitability for any given project.
Vendor agrees to provide, and keep current, proof of general liability insurance and WSIB clearance (where applicable) for the duration of membership, maintained through a registered Buildium vendor profile. Vendor also agrees to keep EFT/direct deposit banking information current in Buildium for payment of completed work. Peripheral reserves the right to suspend or revoke roster inclusion and bid eligibility for lapsed insurance, lapsed WSIB standing, incomplete Buildium registration, or breach of this agreement.
Peripheral may include multiple vendors within the same trade category and tier. Membership does not confer exclusivity within a category, city, or property.
Annual membership fees are due at signup and on each renewal date thereafter. All fees are non-refundable once paid, regardless of whether Vendor has yet been added to the active roster, registered in Buildium, or received any bid invitations — except that if Peripheral rejects Vendor's application after payment due to failed vetting (e.g., inadequate insurance, lapsed WSIB standing, or unsatisfactory references), the fee paid for that term will be refunded in full.
Trade Connect membership is a flat annual fee, disclosed in advance, with no volume-based, performance-based, or work-based component. Peripheral does not solicit, request, or accept any kickback, commission, referral fee, or markup in connection with any Work Order awarded to Vendor. Vendor's awarded bid price is Vendor's final price: Peripheral will not request, deduct, retain, or renegotiate any portion of it after award. Vendor is paid the full amount of its accepted bid, net only of applicable taxes and any payment-processing costs disclosed at the time of payment. Peripheral's total compensation under this agreement is limited to the annual membership fee described above — nothing more, regardless of the value or outcome of any Work Order.
Vendor agrees not to disclose roster composition, pricing, or any non-public information shared by Peripheral in connection with this program.
This agreement does not create an employment, partnership, agency, or joint venture relationship between Vendor and Peripheral Management, Trade Connect, or any condominium corporation managed by Peripheral.
Peripheral is not a party to, and assumes no liability arising from, any contract for work performed between Vendor and a condominium corporation. Disputes regarding scope, quality, or payment for work performed are between Vendor and the corporation directly.
Either party may terminate this agreement with 30 days' written notice. Peripheral may terminate immediately for breach of vetting requirements, the Code of Conduct, or non-payment of fees.
This agreement is governed by the laws of the Province of Ontario.
